Terms of Service

These Terms govern your use of Aimarcus B2B (the “Service”) operated by Prism Hooldus OÜ, Estonian registry code 16894703, Läänemere tee 62, 13914 Tallinn, Estonia (“we”, “us”). By signing up or using the Service, you accept these Terms.

1. The Service

Aimarcus B2B provides each subscriber a private workspace with an AI assistant that can read and act on data the subscriber connects (Gmail, Calendar, Stripe, GitHub, and other services listed on the Connections page). The assistant runs in an isolated sandbox per workspace. Capabilities and tier limits are described on aimarcusb2b.eu.

2. Your account

You must be at least 16 years old and authorised to bind the business you represent. You are responsible for keeping your login credentials secret and for any activity in your workspace. Notify us at prismestonia@gmail.com immediately if you suspect unauthorised access.

3. Acceptable use

You agree NOT to use the Service to:

We may suspend or terminate a workspace that violates these rules. We will give 7 days’ notice except where immediate suspension is necessary to stop harm.

4. Subscription, fees, taxes

The Service is sold on three tiers: Chat €29/month, Power €99/month, Mirror €299/month. Prices on the website are authoritative. We may change prices with 30 days’ notice; existing subscriptions keep the original price until the next renewal.

Payment is processed by Stripe. Subscriptions renew automatically unless you cancel from /account. You can also choose “one-time billing” at signup, in which case auto-renew is disabled by default.

Prism Hooldus OÜ is currently below the Estonian VAT threshold (€40,000 annual turnover), so invoices are issued without KMKR/VAT. If our VAT status changes, we will reissue prices with VAT applied to new invoices.

5. Cancellation and refunds

You can cancel at any time. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not pro-rate refunds for the unused portion of a paid month.

Refunds within the first 14 days of your first paid month, no questions asked, if you write to prismestonia@gmail.com. After 14 days, refunds are at our discretion.

6. Your content, our content

You retain all rights to anything you upload, type, or connect to the Service (“Your Content”). You grant us a limited licence to host and process Your Content only to provide the Service to you. We do not use Your Content to train AI models.

Assistant replies generated for you are yours to use freely. The underlying software, prompts, tools, and Service itself remain our intellectual property.

7. Third-party services and connections

When you connect an external service (Gmail, Stripe, etc.) you authorise us to act on your behalf through that service’s API using credentials you provide. We are not responsible for outages, policy changes, or actions of those third parties. Use of each external service is governed by that service’s own terms.

We never sell, share, or use connection credentials outside the chat turn that you initiated, except as described in our Privacy Policy.

8. Service availability

We aim for high availability but do not promise specific uptime. We may schedule maintenance windows; we will announce planned downtime by email at least 24 hours in advance where possible.

9. Warranties and disclaimers

The Service is provided “as is”. To the maximum extent permitted by Estonian law, we disclaim implied warranties of merchantability and fitness for a particular purpose.

The assistant’s output is generated by a language model and may contain mistakes. You are responsible for reviewing what the assistant produces before relying on it for legal, tax, financial, medical, or other consequential decisions. We are not liable for decisions you make based on assistant output.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the Service is capped at the amount you paid us in the 12 months immediately before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption, even if we were advised such damages were possible.

This limitation does not exclude or limit liability that cannot be excluded under applicable consumer protection law.

11. Indemnification

You agree to defend and indemnify Prism Hooldus OÜ against any third-party claim arising from (a) your violation of these Terms, (b) misuse of the Service, or (c) infringement of third-party rights by content you uploaded, sent, or generated through the Service.

12. Suspension and termination

You can delete your workspace at any time from /account. We may terminate or suspend your workspace if you breach these Terms, if you fail to pay, or if continuing the Service to you would expose us to legal risk. After termination, the data-retention rules in our Privacy Policy apply.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Estonia. Any dispute that cannot be resolved through written negotiation will be settled by the Harju County Court (Harju Maakohus), Tallinn, Estonia.

14. Changes

We may revise these Terms. Material changes will be announced by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
